SAMPLE CLUB BYLAWS

1.
The name of this organization shall be
____________________and shall be a non-profit organization and at
no time will its business be conducted for private or
personal gain.
ARTICLE II
OBJECTIVES
The general objective
of the Association is to promote and foster a general and continued movement
for conservation of wildlife and natural resources.
To promote sportsmanlike methods of hunting, fishing, trapping, and
outdoor living with proper respect to landowners and the property of others.
To acquire and
protect an area of land so that members of the Association may use it as set
forth in these Bylaws.
ARTICLE III
MEMBERSHIP
1.
Members must be acceptable to the membership as
hereinafter provided, and shall pay dues and fees as recommended by the Board
and approved by a majority vote of the membership. All members must be 18 years
old or older.
2.
Annual dues must be paid in advance every year on or
before ________________. All dues shall be payable to the Secretary-Treasurer
of the Association.
3.
Failure to pay dues on or before ______________________
will cause member’s name to be deleted from the roster.
4.
Any increase or decrease in membership rates will be
recommended by the Board of Directors and approved by a majority vote of the
membership.
5.
Each member who has paid the required dues and
membership fee shall be issued a membership card.
6.
Each member in good standing shall be entitled to take
the immediate members of his family into the enclosure of the Association to
hunt, fish, or picnic without additional cost to the member provided the
following terms and conditions are considered:
a)
The family member shall mean husband or wife, children
under _______ years of age, living with parents and unmarried.
b)
Each family member must carry an identification stating
who the bearer is, and whose membership he or she belongs to. Such card must be
secured before any family member enters upon the enclosure of the Association.
Any child under the age of twelve (12) will not be required to have an
identification card.
7.
Violations of a membership agreement by any member
shall be acted upon by the Board of Directors and if deemed appropriate, said
Board may recommended the cancellation of an individual membership or may
specify other penalty with the approval of such recommendation to be voted on
and approved by a majority vote of the membership. No money shall be returned
for violation of membership agreement.
8.
Upon request of any identified Association members,
warden, officer, director, caretaker or employee, an individual shall at any
time show his membership card. Failure to do so will be regarded as a
membership violation.
9.
Any member may withdrawresign
at any time, but such action must be in the form of a written notification to
the Secretary who shall keep same, and drop the individual from the membership
roster as of that date. No refund of dues or fees shall be made in this event.
10. The
membership of the Association shall have the right to set limits, seasons,
hours, and means and methods of taking game within the enclosure of the
Association provided such action is not over and beyond the regulations as set
by the State Parks and Wildlife Department and guidelines as set forth by
Forestar Real Estate Group.
11. All
members will read and abide by the policies set forth by Forestar Real Estate
Group and by the terms of any recreational
or hunting license agreement between
Forestar Real Estate Group. Any violation of these policies or
agreements will be grounds for termination of membership.
ARTICLE IV
BOARD OF DIRECTORS
1.
The government of the club and the direction of its
work, internal affairs and activities generally shall be vested in a Board of
Directors herein referred to as the “Board.”
2.
The Board shall consist of a minimum of three (3)
members, to be elected by the general membership at the annual meeting.
3.
All Directors shall be nominated and elected by the
membership at the general meeting thereof each year as hereinafter provided.
4.
Any member in good standing is eligible for election as
director. Spouses of members are not allowed to serve as officers or directors.
5.
All Directors shall serve until their
successors are elected and qualified.year terms
except of the first Board elected after the adoption of these Bylaws, who will
serve one year. All Board members will rotate off the Board every years. No
member will succeed himself on the Board.
6.
The general membership shall choose one Board member as
their President.
7.
The Board shall be and is hereby authorized to adopt
such rules and regulations by resolution as may be deemed advisable for the
government of the Board; the proper conduct of the business of the club
guidance and conduct of all committees, officers, employees, caretakers,
overseers, and members, and generally the Board shall be empowered to do
whatever in its judgment may be necessary to preserve the best interest of the
club or calculated to increase the efficiency of the club and to carry the main
purpose of the organization.
8.
The Board shall meet at least once a year and the
Secretary shall notify the general membership of the time and place.
9.
The Board shall have the power to appoint one or more
advisors to the Board and these advisors shall be present at all Board
meetings, but shall not have a vote in the decisions that come before the
Board. Said advisors may be employees of the State or other private
institutions but shall not receive pay from the club for their services.
10. The
Board shall have the power to appoint by resolution any and all committees and
shall authorize and define the powers and duties of such committees.
11. The
Board may call membership meetings whenever it may consider it necessary or
advisable; notice of any such meeting shall be given each member whose name
appears in the membership roster, by mail, advising time, place and purpose of
such meeting.
12. Under
any and all subjects not covered by these Bylaws, the Board shall be empowered
to act in the best interest of the Association as voted by the membership.
ARTICLE
V
OFFICERS
1.
The officers shall consist of a President and Vice
President. There shall also be a Secretary and Treasurer, who may be one person
or may be two persons.
2.
The President shall preside at all meetings of the club
and perform all duties pertaining to this office and shall be an ex-officio
member of all committees.
3.
The Vice President shall act in the absence of the
President. In the absence of both President and Vice President, a member of the
Board shall be chose to act temporarily.
4.
The Secretary shall conduct official correspondence,
preserve and keep and manage all books, membership roster, documents,
communications, account books, sign all membership cards, and keep and maintain
generally the records of the club, and record and keep a record of the meetings
of the Board.
5.
The Treasurer, who may also be the Secretary, shall
receive, keep and disburse the funds of the club. No disbursement shall be made
unless authorized by the Board. All disbursements shall be made by check, which
shall be signed by the Secretary and countersigned by the Treasurer.
6.
At annual membership meetings, the Treasurer shall make
a financial report to the members.
ARTICLE
VI
MEETINGS
1.
The Board shall call a Special Meeting of the members
upon being presented with a petition therefore signed by a majority of the
members of the club. The petition for said meeting shall state the purpose for
said meeting and no other purpose or other subject matter shall be considered
at said meeting.
2.
There shall be a membership meeting held annually on of
each year. Notice of such meeting shall be given each member whose name appears
on the membership roster.
3.
A majority of the members of the Board, or membership,
shall be sufficient to constitute a quorum at any such meeting, unless
otherwise specified in relation to Special Meetings for special purposes as set
out in other articles and section of these Bylaws.
4.
At license seven (7) days’ notice of all general or
called meetings shall be given each member by postcard.
